Members are asking why the council has not made progress with the redevelopment or with changing our legal status to that of a limited company (incorporation), as proposed at the end of last year.
The short explanation is that as part of the incorporation process, we intended to have the club property transferred from the holding company (Duffield Sports Club Limited - DSCL) to the newly incorporated club (Duffield Rackets and Fitness Limited – DRF LTD). However, we have run into difficulties as the squash members on the board of DSCL are refusing to agree to the transfer.
We have therefore been obliged to take expert legal advice (at great expense), which states that these board members may not act independently but must follow the will of the membership. We will therefore be calling an EGM to put a series of resolutions to you so that you can decide whether you support incorporation and, if so, whether you want the club property to be transferred to the newly incorporated club.
As explained last year, the main reason for becoming incorporated is to limit our exposure to risk. It will also mean that the club can own the site in its own name without an intermediary holding company, which will make any redevelopment easier to manage. Our professional advisors recommend us to take this step to protect the club for the future.
The attached question and answer sheet explains the situation in more detail, and we urge you to read it. We will be writing to you shortly to announce the date of the EGM and, at that point, will provide you with more information about incorporation and the proposed Articles of Association which will replace our existing constitution.
Although we normally hold our AGM in September, it will be held later in the year, as permitted by our constitution.
